01Definitions

In these Terms and Conditions, the following definitions apply:

• "Action Point" means the task and incident management software platform operated by SOLUTION 22 AUS PTY LTD (ABN 77 160 488 273, ACN 160 488 273).
• "We", "us", "our" refers to SOLUTION 22 AUS PTY LTD.
• "You", "your" refers to the individual or organisation accessing or using the platform.
• "Customer" means a business or organisation that has subscribed to a paid Action Point plan.
• "User" means any individual accessing the platform under a Customer's account.
• "Platform" means the Action Point web application, iOS app, Android app, and all associated services.
• "Content" means all text, images, data, and other materials you submit or upload to the Platform.
• "Subscription" means the recurring fee arrangement for access to the Platform.

02Acceptance of terms

By registering for, accessing, or using Action Point, you confirm that:

• You are at least 16 years of age.
• You have the legal authority to enter into a binding agreement on behalf of yourself or your organisation.
• You have read, understood, and agree to these Terms and Conditions and our Privacy Policy.

If you are accessing the platform as an employee or authorised user of a Customer organisation, you are bound by both these Terms and any additional policies your organisation has put in place.

03Account registration and responsibilities

To use Action Point you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password and login credentials confidential and not share them with others.
• Notify us immediately at support@actionpoint.app if you suspect unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or where security has been compromised.

04Licence to use the platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during your active Subscription period.

This licence does not permit you to:

• Copy, modify, distribute, sell, or resell the Platform or any part of it.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use the Platform to build a competing product or service.
• Sublicence access to the Platform to any third party without our written consent.

All rights not expressly granted are reserved by SOLUTION 22 AUS PTY LTD.

05Acceptable use

You agree not to use Action Point to:

• Upload or transmit any content that is unlawful, defamatory, harassing, abusive, obscene, or otherwise objectionable.
• Infringe any third party's intellectual property, privacy, or other rights.
• Transmit any viruses, malware, or other harmful code.
• Attempt to gain unauthorised access to any part of the Platform or other users' accounts.
• Use automated tools, bots, or scrapers to interact with the Platform without our written consent.
• Interfere with or disrupt the integrity or performance of the Platform.
• Use the Platform in any way that violates applicable laws or regulations, including Australian privacy, employment, and competition law.

We reserve the right to investigate and take action, including suspension or termination, where we believe a violation has occurred.

06Your content

You retain ownership of all Content you submit to the Platform. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display that Content solely for the purpose of providing the Platform to you.

You represent and warrant that:

• You own or have the necessary rights to submit the Content.
• The Content does not violate any law or the rights of any third party.
• The Content does not include personal information about individuals without their consent, except where necessary for legitimate workplace task management purposes.

We do not review Content for accuracy or legality and are not responsible for any Content submitted by you or your team. You are solely responsible for your Content.

07Payment and subscription

Fees

Access to Action Point requires a paid Subscription. Fees are quoted in Australian dollars (AUD) and are exclusive of GST unless otherwise stated. GST will be added where applicable.

Billing

Subscriptions are billed in advance on a monthly or annual basis, as agreed at the time of purchase. You authorise us to charge your nominated payment method on a recurring basis.

Free trial

We do not currently offer a self-serve free trial. Access is granted following an onboarding call and a confirmed subscription.

Cancellation

You may cancel your Subscription at any time by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for unused portions of a prepaid period unless required by Australian Consumer Law.

Price changes

We may change Subscription fees on 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Late payment

If payment fails, we may suspend your account after reasonable notice. We reserve the right to charge interest on overdue amounts at the rate of 2% per month.

08Intellectual property

All intellectual property in the Platform — including software, design, trademarks, logos, and documentation — is owned by or licensed to SOLUTION 22 AUS PTY LTD. Nothing in these Terms transfers any intellectual property rights to you.

The Action Point name, logo, and visual identity are registered or unregistered trademarks of SOLUTION 22 AUS PTY LTD. You may not use them without our prior written consent.

We welcome feedback and suggestions. If you provide us with feedback, you grant us the right to use it for any purpose without compensation to you.

09Third-party services

The Platform may integrate with or link to third-party services (for example, POS systems, calendar tools, or payment processors). We are not responsible for the availability, accuracy, or terms of those services.

Your use of third-party services connected to Action Point is governed by the terms and privacy policies of those third parties. We encourage you to review those terms before connecting any integration.

10Disclaimers and warranties

The Platform is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or free from viruses or harmful components.
• Any errors or defects will be corrected.
• The Platform will meet your specific requirements or expectations.

Nothing in these Terms excludes or limits rights you may have under the Australian Consumer Law that cannot be excluded or limited by agreement.

11Limitation of liability

To the maximum extent permitted by Australian law, our total liability to you for any claim arising out of or relating to these Terms or the Platform (whether in contract, tort, or otherwise) is limited to the amount you paid us in the 3 months preceding the event giving rise to the claim.

We are not liable for any:

• Loss of profits, revenue, data, or business opportunity.
• Indirect, consequential, special, or punitive damages.
• Loss arising from your reliance on the Platform for critical or safety-sensitive operations without appropriate backup procedures.

12Termination

Termination by you

You may terminate your account at any time by cancelling your Subscription and notifying us. Your access will continue until the end of the current billing period.

Termination by us

We may suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms and fail to remedy the breach within 7 days of notice.
• We are required to do so by law or regulatory authority.
• Your account has been inactive for more than 12 consecutive months on a paid plan.
• We reasonably believe your use poses a security or legal risk to us or other users.

Effect of termination

On termination, your right to access the Platform ceases immediately. We will retain your data for up to 90 days following termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy. Sections 6, 8, 10, 11, and 13 survive termination.

13Disputes and governing law

These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute in good faith through negotiation. If unresolved within 30 days, either party may escalate to mediation through the Australian Disputes Centre before commencing litigation.

14Changes to these terms

We may update these Terms at any time. When we make material changes, we will notify you by email or by prominent notice on the Platform at least 14 days before the changes take effect.

If you do not agree to the updated Terms, you must stop using the Platform and cancel your Subscription before the effective date. Continued use constitutes acceptance.
